Job Description

The Contract Manager will oversee the entire lifecycle of client and partner contracts across multiple geographies. Reporting to the CFO, this highly visible and collaborative role will serve as a key business partner to Sales, Client Success, Professional Services, and executive leadership. You will be responsible for structuring, negotiating, and executing new contracts, contract renewals, reseller and strategic partnership agreements contract renewals; reseller and strategic partnership agreements, ensuring compliance and reducing risk.

 

Key Responsibilities

· Maintain company standard contract templates. Ensure templates are structured in a way that balance the protection of company assets with the goal of ensuring contract close process has fewer issues and client redlines.

· Structure, draft, negotiate, and close client and partner contracts, including EULAs, MSAs, renewals, SOWs, and modifications.

· Work closely with Client Success Team in managing the contract renewal process. Responsible for timely contract renewals, managing and justifying annual price escalations, ensuring contracts are renewed under company standard contracts prior to expiration, and managing company’s license key process.

· Serve as the primary liaison between internal teams and clients for all contractual matters.

· Identify legal risks or escalations and coordinate with appropriate company executives or legal counsel.

· Manage contract compliance across the company, including GSA compliance, pricing, contract renewals, reporting, and audit readiness.

· Coordinate internal approvals for contracts and subcontracts in accordance with company policies.

· Maintain a centralized repository of all contracts and associated documentation.

· Assist with operational execution of contracts post-signature, including milestone tracking and renewals

 

 

Qualifications

· Bachelor's degree in Business, Finance, Law, or related field (advanced degree or legal training a plus).

· Minimum of 5 years of progressive experience in contract negotiation and administration within a SaaS, licensing, and technology services company.

· Deep understanding of contract law as it applies to SaaS, software licensing, and consulting services.

· Demonstrated success in negotiating complex agreements with enterprise clients and partners.

· Strong client relationship and conflict management skills with demonstrated experience working with clients to review contracts, commercial terms, and renewals.

· Excellent written, verbal, and interpersonal communication skills.

· Strong organization, leadership, and collaboration abilities; capable of working cross-functionally at all levels of the organization.

· Familiarity with government and GSA contracts is preferred.

· Experience with contract management systems and tools is a plus.
