What You’ll Be Doing

• Advising on public and private offerings, SEC compliance, and 1933/1934 Act filings
• Drafting and reviewing Forms S-1, S-3, S-4, 10-K, 10-Q, 8-K, proxy statements, and governance documents
• Supporting M&A and strategic transactions with securities law expertise
• Developing governance policies, assisting with board materials and shareholder meetings
• Collaborating with cross-functional teams on complex transactions across industries

About You

• 3-6 years of experience in capital markets, securities, or corporate governance work
• Strong drafting and analytical skills; confident in SEC and listing standards compliance
• Experience with public company reporting and private placements (PIPEs a plus)
• Excellent writing, organizational, and client communication skills
• Licensed to practice law in Colorado or eligible for waiver/admission
